In Flynn V Breccia [2017] IECA 74, The Irish Court of Appeal
considered when terms could be implied into a detailed Shareholders
and Subscription Agreement and whether a duty of good faith should be
implied into such a contract.

[2013] 1 CLC 662 and later judgments of the English Courts are
